I took a contract to…read morehim when I was offered a job / partnership position with a startup that was offering me a lot of money plus equity. The consultation was free and I expected him to look over the contract s as bf say that I should make some changes and then tell him how much those changes would cost. Instead he told me not to sign the contract at all and that being a partner with equity would mean that I was on the hook for any debts incurred by the startup. He told me instead to just take the job but not as a partner but as an employee. He said the contract was good as is except for a few paragraphs about the partner status. He effectively eliminated his own income stream from my project that day. What I would realize until a year later is that Mr. Brown saved me from a $5 million fiasco. The startup went belly up and the four partners were sued for $5 million. The CEO turned out to be a crook and instantly filed for bankruptcy as did two other partners. The last partner was on the hook for the whole amount and was going to try to fight it but was worried she would lose her house. She was nearing retirement age so she wasn't worried about garnished wages as much as she was worried about her home and her credit score. I think if I had signed that initial contract they would have come after me for the $5 million or at least half of that. I didn't have it but they could garish my future wages since I was only in my early 30s at the time. They would have also ruined my credit score in the process. Thank you Mr. Brown for saving me from that nightmare. I still took a loss of $1,000+ of out of pocket expenses plus $10,000 of back pay but it was far less than I would have lost as a partner.
