Imagine this - 6 weeks go We receive a term sheet from a VC for $1.2M and we're at the final stages of diligence. We're inches away from closing a seed round and getting the money in the bank. One of the last steps before closing the round is to show a receipt you supposedly received, proving the IRS received a form that was sent to them 4 years prior (when the company was first incorporated). This receipt was no where to be found. If we couldn't show the VC we had submitted this form, they would have pulled out of the deal (we would have owed $350k in taxes). We're scrambling, trying to get ahold of the IRS, hoping they could retrieve the form and send us proof of receipt (if you've ever tried to get ahold of the IRS, you'd know it's virtually impossible).
