From the moment we signed up, I had mentioned to Ron that we are were not 100% about selling the restaurant however, a few short week later, we decided to move forward and list with him. I was lead to believe that this would be just like any real estate transaction and that we could terminate at anytime, 4 months later when we decided to take our restaurant off the market, we found out that this is not the case. Ron was quick to put us under contract which we were not able to preview only docusign. As everyone know, any document sent on Docusign is very difficult to read completely, especially the hidden clause where they lock you in for 12 months. Here are some of the reasons why we want out of our contract: 1) Ron asked us to fill out a P&L excel sheet which he provided to us and shortly after he had us under contract, he would no longer accept that excel sheet and wanted one that came directly from the account or Quickbooks. Please keep in mind that he is the one that sent us that P&L form and he said he would not need anything else. Now we have to get an accountant to certify our documents which comes at an additional cost we were not ready for. 2) During the early stages of our conversation, we had agreed on a price prior to sell our restaurant prior to the contract. Ron came back to us with a price of 50k higher than the price discussed. At first I thought it was a great idea because my business is worth a lot of money. However, just like anything else in this world, if you don't price your product right at first, you will end up losing potential clients. That's exactly what happened here. I am now afraid that we have to discount more than the original priced we agreed upon just so Ron's numbers could look good for the company he works for. 3) We were never told what the fees were upfront for listing our business. Ron didn't go over them until after the agreement was signed and a docusign copy was sent to us. 4) Since we signed the contract. Ron has not made a single attempt to call us. We have been under contract for a little over 4 months. I have had to ask Ron each month to give me an update and even then it felt like we were bothering him. During my last verbal conversation with him, I was told that these types of businesses can take 8+ months if not years. Basically he didn't want to be bothered by my request for updates. This would have been great information to share with us at first. We may have gone a different route. Instead, he promised us results and delivered nothing. 5) When requesting information about how Ron was going market our restaurant, we were ignored and no calls were returned. 6) We have requested updates on potential buyers that Ron stated showed interest but he could never give us names, how many clients showed interest, etc. We would get very little information regarding any interest shown and Ron would turn the tables back on us stating that we should offer owner financing for 2+ years instead of him finding us a protentional client that is well qualified. We are not a bank and this was never a solution although I actually considered a one year financing because we were stuck between a rock and a hard place. 7) Without getting any updates, without any additional marketing other than that one Transworld marketing email, without producing any additional details of clients, if any, that had potential interest, we decided to terminate our agreement and sent an email to Ron stating that we had a change of heart. Ron sent us this email "Your listing agreement has a 12-month term and doesn't expire until September 6th, 2024. You don't have the option to terminate our agreement. I would suggest getting your financials put together and let's try to sell this business." Ron was not interested in why we felt the way we did. Had Ron called us at least once, he would have knowns our frustrations. We requested to speak to Gerry, the CEO of the company, twice and he finally sent us his contact information. Again, he didn't call us nor did he attempt to make things right. We had to pull his teeth to get Gerrys information. Once we contacted Gerry, we were told he was not available until some times in February. The person that contacted me informed me that once Gerry's schedule was made available to her, she would call me back sometimes in February to make that introduction. If you have a business you are wanting to sell, If you have a business you are wanting to purchase, this is the last company I would recommend. The Transworld business advisors completely disappear after they lock you in 12 month contract knowing they have you for at least a year. They do not make fees, marketing efforts nor detailed information on potential clients available to you even if you ask.
